HOUSTON, Sept. 24, 2025 – KBR, Inc. (NYSE: KBR) has announced its strategic intent to spin off its Mission Technology Solutions (MTS) segment in a tax-free transaction. The company’s Board of Directors has unanimously approved the plan, which aims to create two distinct, publicly traded companies.
The spin-off is anticipated to unlock significant value creation for shareholders. The new KBR will continue as a global leader in sustainable technology solutions, focusing on process technologies and differentiated services. The spin-off entity, referred to as SpinCo, will continue to scale as a trusted global government services provider for critical national security and space applications.
The transaction is intended to be tax-free to KBR and its shareholders and is expected to be completed in mid-to-late 2026. KBR plans to host investor days prior to the completion of the separation.
This strategic decision is the culmination of a decade-long portfolio transformation for KBR. The separation is expected to provide each entity with greater strategic focus and agility to pursue growth opportunities within their respective markets.
