Kesko Nomination Committee Proposes Changes to Board Composition
Kesko's Shareholders' Nomination Committee proposes electing seven members to the board at the 2026 Annual General Meeting. Mervi Airaksinen is proposed as a new member.

The Shareholders' Nomination Committee of Kesko Corporation has put forward its proposals regarding the composition of the company's Board of Directors for the 2026 Annual General Meeting, scheduled for March 26, 2026.
The committee proposes that the board should consist of seven members. Six current board members — Esa Kiiskinen, Tiina Alahuhta-Kasko, Jannica Fagerholm, Pauli Jaakola, Jussi Perälä, and Timo Ritakallio — are proposed for re-election. Mervi Airaksinen, currently Chief Business Officer for Microsoft in Northern and Eastern Europe and Central Asia, is proposed as a new member. Piia Karhu has stated she is unavailable for re-election.
The proposed board members largely meet the independence requirements outlined in the Finnish Corporate Governance Code. Pauli Jaakola is noted as not being independent of the company due to his position as Chairman of the Board of the K-Retailers' Association, a significant shareholder. Mervi Airaksinen holds no Kesko shares as of January 15, 2026.
Furthermore, the Nomination Committee recommends that board fees and expense reimbursements remain unchanged from the previous year. The proposed annual fees are €120,000 for the Chair, €75,000 for the Deputy Chair, and €55,000 for ordinary members, with meeting fees also remaining at prior levels.
