HOUSTON – KLX Energy Services Holdings, Inc. announced that its Board of Directors has adopted a limited-duration stockholder rights plan designed to safeguard the interests of all the company's stockholders. The plan becomes effective immediately and is set to expire on September 23, 2027, unless the rights are redeemed, exchanged, or terminated earlier.
The Board established the plan in response to a single investor's swift accumulation of a significant stake in the company's common stock. This action was prompted by the investor's request to purchase shares exceeding the 9.995% ownership limit imposed during the company's recently concluded rights offering. The investor has a documented history of acquiring substantial equity positions in public companies and subsequently seeking to acquire those entities or their assets.
The rights offering, which aimed to allow existing stockholders to participate in a deleveraging transaction without dilution, had a 9.995% ownership cap to prevent any single holder from accumulating a controlling position at the discounted price. The expiration of this offering on September 23, 2026, removed this cap, prompting the adoption of the new rights plan with a 10% threshold to align with the previous limit.
The Board believes the company has significant value creation opportunities post-rights offering and aims to prevent any single entity from gaining control without offering a fair premium to all shareholders. The plan is intended to provide the Board with sufficient time to execute its strategic plan and make informed decisions in the best interest of its stockholders.
