Kojamo Nominating Committee Proposes New Board Members and Remuneration Structure

Kojamo Oyj's shareholders' nominating committee has announced its proposals for the company's annual general meeting scheduled for March 2022. Key proposals include changes to the board's composition and the structure of board member remuneration.

The nominating committee proposes that the number of board members remain at seven. Mikael Aro is proposed to continue as the Chairman of the Board. Matti Harjuniemi, Anne Leskelä, Mikko Mursula, Reima Rytsölä, and Catharina Stackelberg-Hammarén are proposed for re-election. Kari Kauniskangas is proposed as a new member. Minna Metsälä will leave the board upon the conclusion of her term.

The proposed remuneration for 2023 includes annual fees of €69,000 for the Chairman, €41,500 for the Vice Chairman, and €35,000 for members. An additional meeting fee of €600 is proposed for board and committee meetings. The committee suggests that approximately 40 percent of the annual remuneration be paid in company shares and the remainder in cash. These shares will be acquired within two weeks of the Q1 interim report's publication and will be subject to transfer restrictions.
