Kojamo's shareholder nomination committee has proposed changes to the company's board of directors for the annual general meeting in March. Two long-serving members are set to leave their positions.

Kojamo Nomination Committee Proposes Board Changes

Kojamo Oyj's shareholder nomination committee has put forward proposals for changes to the company's board of directors. For the annual general meeting to be held on March 16, 2023, the committee proposes that the board composition remains at seven members, but with two current members stepping down.

Matti Harjuniemi, who has served on the board since 2010, and Reima Rytsölä, a board member since 2014, will not be standing for re-election. Arve Regland, the chair of the nomination committee, expressed gratitude to Harjuniemi and Rytsölä for their significant contributions to Kojamo's board work.

The committee proposes Mikael Aro continues as chairman of the board. The current members Kari Kauniskangas, Anne Leskelä, Mikko Mursula, and Catharina Stackelberg-Hammarén are nominated for re-election. New candidates for board membership are Annica Ånäs and Andreas Segal, whose profiles are attached to the press release. All proposed candidates are independent of the company and its major shareholders.

Furthermore, the nomination committee suggests remuneration adjustments for board members. Annual retainers are proposed to remain at 72,500 euros for the chairman, 43,000 euros for the vice-chairman, and 36,000 euros for members. Meeting fees are proposed at 700 euros per meeting, with double fees for members residing abroad if travel to Finland is required. Approximately 40 percent of the annual remuneration is proposed to be paid in Kojamo Oyj shares, acquired on the market and subject to a two-year vesting period or until the end of the board membership, whichever comes first. The annual general meeting is scheduled for March 16, 2023.
