Kojamo's Nomination Board proposes new board member and fees

Kojamo's Shareholders' Nomination Board has proposed that Mikael Aro be elected Chairman of the Board and Catharina Stackelberg-Hammarén as a new board member at the March 17, 2021 AGM. The board's fees are also proposed to be adjusted.

Kojamo's Nomination Board proposes new board member and fees

Kojamo Plc's Shareholders' Nomination Board has put forward its proposals for the composition and remuneration of the company's Board of Directors for the upcoming Annual General Meeting (AGM) on March 17, 2021. The Nomination Board proposes that the Board of Directors continue to have seven members. Mikael Aro is proposed to be elected as the new Chairman of the Board. The current members Mikko Mursula, Matti Harjuniemi, Anne Leskelä, Minna Metsälä, and Reima Rytsölä, along with new member Catharina Stackelberg-Hammarén, are proposed for election as board members. Current member Heli Puura will be leaving Kojamo's Board of Directors following the 2021 AGM. Riku Aalto, Chairman of the Nomination Board, expressed gratitude to Puura for her contributions. The Nomination Board proposes that the annual fees for board members remain unchanged. The Chairman would receive EUR 67,500, the Vice Chairman EUR 40,500, and other members EUR 34,000 annually. Additionally, an attendance allowance of EUR 600 per meeting is proposed. Approximately 40 percent of the annual fee would be paid in Kojamo Plc shares, with the remainder in cash. These shares would be purchased on the market and subject to a two-year transfer restriction. Kojamo Plc's AGM established a permanent Shareholders' Nomination Board in May 2018. Its mandate is to prepare proposals concerning the election and remuneration of the Board of Directors and its committee members. The Nomination Board comprises representatives from the company's three largest shareholders, along with the Chairman of the Board of Directors as an expert member.
