Law Firm Investigates Navan Officers and Directors
Law firm Kahn Swick & Foti, LLC has launched an investigation into Navan, Inc.'s officers and directors. The probe focuses on information disclosed during the company's initial public offering.

New Orleans, LA – The law firm Kahn Swick & Foti, LLC (KSF) has initiated an investigation into the officers and directors of Navan, Inc. (NasdaqGS: NAVN), a company that provides booking and expense management software for business travelers, headquartered in Palo Alto, California.
The investigation centers on Navan's initial public offering (IPO) on or about October 31, 2025, where the company sold 36,924,406 shares of common stock to the public at $25 per share. KSF alleges that the offering documents, which touted the company's "rapid growth," failed to disclose that this growth was increasingly reliant on escalating sales and marketing expenditures.
On the date of the IPO, Navan's sales and marketing expenses reportedly rose to approximately $95 million, a 39% increase from the $68.5 million spent in the prior quarter. Subsequently, a securities class action lawsuit was filed against the company and certain executives, alleging material non-disclosure during the class period in violation of federal securities laws.
KSF's investigation aims to determine whether Navan's officers and/or directors breached their fiduciary duties to shareholders or otherwise violated state or federal laws. The firm is seeking individuals with information pertinent to the investigation or long-term Navan shareholders to come forward.
