Law Firm Investigates Three Corporate Deals for Shareholder Interests

Law firm Halper Sadeh LLC is investigating three notable corporate transactions for potential violations of federal securities laws and/or breaches of fiduciary duties to shareholders.

The firm is examining the sale of Utz Brands, Inc. (NYSE: UTZ) to Intersnack Group GmbH & Co. KG for $14.25 per share in cash. Also under review is the sale of BioLife Solutions, Inc. (NASDAQ: BLFS) to Repligen Corporation for $11.25 in cash plus 0.1442 shares of Repligen common stock. The third transaction being investigated is the sale of Finward Bancorp (NASDAQ: FNWD) to First Financial Bancorp, where Finward shareholders will receive 1.35 shares of First Financial for each Finward share.

The investigations stem from concerns that insiders may receive substantial financial benefits not available to ordinary shareholders. There is also a possibility that the transaction terms might limit superior competing offers, potentially diminishing the value shareholders receive.

Halper Sadeh LLC encourages any shareholders of the involved companies to contact the firm to discuss their rights and options at no cost. The firm represents investors globally and seeks to secure increased consideration, additional disclosures, and other benefits on behalf of shareholders.
