Law firm Robbins LLP has notified investors of a class-action lawsuit filed against EquipmentShare.com, Inc. on behalf of shareholders who purchased stock in connection with the company's January 2026 initial public offering (IPO) or securities between January 23, 2026, and June 23, 2026. The suit alleges that EquipmentShare made materially false and misleading statements in its IPO registration statement and throughout the class period.

According to the complaint, issues surfaced on June 24, 2026, when media outlet Umibōzu Research published a report alleging substantial and undisclosed related-party transactions benefiting entities affiliated with EquipmentShare's founders. The report detailed how the company's own programs allegedly funneled significant fees to these related parties, leading to a sharp decline in the company's stock price following the news.

Plaintiffs contend that EquipmentShare failed to disclose these transactions and the extent of involvement by entities owned or controlled by its co-founders. These alleged undisclosed dealings are said to have rendered the company's financial statements misleading. The stock price fell considerably after the report's release, trading as low as $16.06 per share, a decline of over 34.5% from its IPO price of $24.50.
