Metso's AGM Approves 2025 Dividend and Board Composition

Helsinki – Metso Oyj held its Annual General Meeting (AGM) today, April 22, 2026. The meeting adopted the company's financial statements for the fiscal year 2025 and discharged the Board of Directors and the President and CEO from liability for the period. Key decisions included the approval of a dividend and the composition of the Board of Directors.

The AGM approved the Board's proposal to pay a dividend of EUR 0.40 per share for 2025. The dividend will be paid in two installments: EUR 0.20 per share on May 4, 2026, and another EUR 0.20 per share in October 2026. The meeting also adopted, through an advisory resolution, the company's 2025 remuneration report for its governing bodies.

Metso's Board of Directors will consist of nine members. Seven current members were re-elected, and Matts Rosenberg and Petra Sundström were elected as new members. Kari Stadigh was re-elected as Chair of the Board, and Klaus Cawén as Vice Chair, until the closing of the 2027 AGM. The remuneration for Board members was set, with additional fees for committee work. Board members are required to use a portion of their fixed annual remuneration to purchase Metso shares.

The AGM re-elected Ernst & Young Oy as the company's auditor, which will also be responsible for sustainability reporting assurance. Furthermore, the AGM authorized the Board of Directors to repurchase up to 82 million of the company's own shares, representing approximately 9.9 percent of all outstanding shares. This authorization can also be used for issuing shares and special rights.
