Microsoft Board to Review Sexual Harassment and Discrimination Policies

Microsoft's board of directors has initiated a comprehensive review of the company's internal policies concerning sexual harassment and gender discrimination. This action stems from an initiative by shareholders, passed with 78 percent support at the company's November 2021 annual meeting.

The shareholder proposal was driven by reports alleging sexual harassment and a failure to adequately and transparently address such claims. Specifically, reports concerning Microsoft co-founder Bill Gates, related to alleged inappropriate relationships and sexual advances toward at least two employees, played a significant role.

According to The New York Times, Gates sent a dating request to an employee after a presentation in 2007, and was advised against sending such emails between management and subordinates. Additionally, Gates reportedly had a sexual relationship with an employee that came to light in late 2019. Microsoft confirmed the relationship, which began around 2000 but reportedly ended amicably. Gates stepped down from the board shortly thereafter, though the company stated his departure was unrelated to the investigation.

Microsoft CEO Satya Nadella emphasized the company's culture and the importance of a safe work environment. An independent investigation will be conducted by the law firm Arent Fox LLP, with initial findings expected in spring 2022. Microsoft also intends to publish a transparency report detailing past harassment and discrimination cases and the actions taken.
