Microsoft Corporation is facing a securities fraud class action lawsuit filed on behalf of its investors after a significant drop in its stock price. The suit alleges that the company misled stakeholders regarding the performance and capabilities of its AI chatbot, Copilot, and its Azure cloud computing platform.
The complaint, filed by law firm Bleichmar Fonti & Auld LLP, claims that Microsoft and certain executives violated federal securities laws. It asserts that statements made about Copilot's supposed success and user adoption were false and misleading. The lawsuit contends that Copilot actually suffered from severe functionality issues, which in turn risked Azure's revenue growth and deterred user acquisition.
Microsoft's stock price fell 10% in late January 2026 after the company announced disappointing financial results for its second fiscal quarter of 2026. The company also reportedly revealed that Azure growth had slowed and that Microsoft 365 Copilot premium customer numbers were significantly below analyst expectations.
Further reporting by The Wall Street Journal highlighted issues with Copilot, including challenges with branding and user experience leading to lost market share. The class action is pending in the U.S. District Court for the Western District of Washington, with a lead plaintiff deadline of August 11, 2026.
