Millrose Properties Faces Securities Class Action Over Alleged Misleading Disclosures

Investors have filed a class action lawsuit against Millrose Properties, Inc., alleging the company concealed key facts about its business operations and financial strategy.

3 November 2026

A securities class action lawsuit has been filed against Millrose Properties, Inc. in the U.S. District Court for the Southern District of Florida. The complaint alleges that the company and its executives issued materially misleading statements between February 7, 2025, and October 2, 2026, regarding the nature of its business and investment objectives.

The litigation follows a report by Hunterbrook on October 2, 2026, which claimed that Millrose had acquired $200 million worth of homes from Lennar and was leasing them at a loss—contrary to the company's prior public statements that it would focus on land development and homesite acquisition. Following the report, Millrose shares fell by 8.53%.

The lawsuit asserts that Millrose failed to disclose its involvement in these rental activities and obscured the relationship between its business strategy and Lennar. Howard G. Smith, representing the plaintiffs, stated that the filing seeks to address losses incurred by investors who relied on the company's previous disclosures. The deadline to serve as lead plaintiff in the case is December 8, 2026.
