Nanobiotix Licenses Radioenhancer NBTXR3 to Janssen for Worldwide Development
Biotechnology company Nanobiotix has entered into a global licensing, co-development, and commercialization agreement with Janssen Pharmaceutica NV for its investigational cancer treatment, NBTXR3.
Paris and Cambridge, Mass. – July 10, 2023 – Nanobiotix, a late-stage clinical biotechnology company, announced a worldwide license, co-development, and commercialization agreement with Janssen Pharmaceutica NV, part of Johnson & Johnson. The deal concerns Nanobiotix's investigational radioenhancer, NBTXR3, which aims to expand treatment possibilities for cancer patients.
NBTXR3 is being evaluated in several solid tumor indications. It is currently under investigation in the global Phase 3 NANORAY-312 study for locally advanced head and neck cancer. The agent is also being studied for its potential as a systemic treatment in combination with anti-PD-1 immune checkpoint inhibitors for patients with metastatic cancers.
Under the terms of the agreement, Nanobiotix grants Janssen a worldwide exclusive license for the development and commercialization of NBTXR3, excluding territories previously licensed to Nanobiotix's partner LianBio. Nanobiotix will receive near-term cash and operational support valued up to $60 million, including an upfront cash licensing fee of $30 million. The company is also eligible for success-based payments of up to $1.8 billion related to potential development, regulatory, and sales milestones.
Janssen will also make an equity investment in Nanobiotix of up to $30 million. The agreement allows Janssen to assume control of certain ongoing NBTXR3 studies and initiate new ones. Nanobiotix will maintain responsibility for the manufacture and supply of NBTXR3 for clinical use as per the agreement.
