Nauticus Robotics Signs Letter of Intent for Up to $50 Million Investment

HOUSTON – Nauticus Robotics, Inc. announced on September 25, 2026, that it has signed a non-binding letter of intent (LOI) with a strategic investor. The agreement outlines a potential private placement equity investment of up to $50 million in the company.

The proposed investment is intended to support Nauticus Robotics' short and long-term commercial objectives as it develops autonomous subsea robotic systems and autonomy software.

The company's Board of Directors is currently evaluating the proposed transaction. Nauticus is also considering engaging an independent financial advisor to assist the Board in its assessment.

The terms of the LOI are non-binding and do not obligate the investor to provide funding. The completion of the transaction is subject to due diligence, negotiation and execution of definitive agreements, and satisfaction of closing conditions. The deal could result in dilution to existing shareholders or a change of control of the company.
