Construction company NCC's Annual General Meeting (AGM) has approved the board's proposal for dividend distribution for the 2025 fiscal year. The company will pay shareholders a total dividend of SEK 11.00 per share, comprising a base dividend of SEK 9.00 and an extra dividend of SEK 2.00.

The dividend payments will be made on two occasions. The first payment, including the full extra dividend, will be SEK 6.50 per share, with a record date of May 7, 2026. The second payment will be SEK 4.50 per share, with a record date of November 5, 2026. Payment is expected on May 12, 2026, and November 10, 2026, respectively.

The AGM also adopted the income statements and balance sheets for 2025 and discharged the board and president from liability. The remuneration report for the board was approved. Board fees were set at a total of SEK 5,133,000, distributed among the chairman and other members according to their roles.

The board composition saw a change with the election of Niklas Persson as a new member. The board will consist of seven regular members. Alf Göransson was re-elected as Chairman of the Board. The auditing firm Öhrlings PricewaterhouseCoopers AB (PwC) was re-elected as the company's auditor, with Patrik Adolfson as Auditor-in-Charge.

Additionally, the AGM approved guidelines for executive remuneration and a new long-term performance-based incentive program (LTI 2026). The company also received authorization to repurchase its own Series B shares, up to 10 percent of the company's total shares, to adapt its capital structure and cover incentive program costs.
