Neste Announces Final Results for Tender Offers

Neste Oyj announced on May 13, 2026, the final results of its recent tender offers for its outstanding green bonds. The company had invited holders to tender for repurchase three series of its notes: €500 million in notes due March 2028, €500 million in notes due March 2029, and €700 million in notes due March 2030.

The tender offers expired on May 12, 2026. Neste confirmed its intention to accept tenders for all three series. The company will repurchase €238.4 million of the 2028 notes, €232.777 million of the 2029 notes, and €28.823 million of the 2030 notes. In addition to the purchase price, Neste will also pay accrued interest on the repurchased notes.

This move is part of Neste's strategy to manage its debt structure and optimize its financing costs. The repurchased notes will be cancelled and will not be re-issued. The tender offers were managed by Citigroup Global Markets Europe AG and Nordea Bank Abp.

The settlement of the offers is expected to occur on May 18, 2026. Following the settlement, the aggregate nominal amount of notes remaining outstanding will range from €261.6 million for the 2028 notes to €671.177 million for the 2030 notes.
