Nokia transfers shares for incentive programs

Espoo – Nokia Oyj announced today the transfer of 43,552,813 treasury shares to individuals participating in the company's share-based incentive programs. The shares were transferred as consideration for fulfilling program conditions.

The transfer is based on a board resolution from October 2, 2025, aimed at meeting obligations related to these incentive schemes. This action is part of the company's strategy to align employee and management compensation with its performance.

Following this transaction, Nokia's total number of treasury shares will be reduced to 88,583,624. This adjustment reflects the company's ongoing use of equity as a component of its executive compensation structure.
