Omron Finalizes Divestiture of Device and Module Solutions Business to Carlyle Group
Omron Corporation has completed the sale of its Device and Module Solutions business to an entity controlled by The Carlyle Group, as part of a strategic corporate restructuring.

On October 1, 2026, Omron Corporation finalized the divestiture of its Device and Module Solutions (DMB) business. The transaction, involving a company split and subsequent stock transfer, moves the entire DMB unit into Aratas, a company now fully owned by an affiliate of The Carlyle Group.
Following the effective date of the company split on July 1, 2026, all issued shares of Aratas were transferred to TCG2602, a special purpose company established by Carlyle. Omron also confirmed that it has fulfilled its agreement to retain a 5% equity interest in TCG2601, the parent company of the acquiring entity.
This divestment aligns with Omron’s broader efforts to reorganize its operations. By shedding the device and module unit, the Kyoto-based company aims to focus its resources on its core automation, healthcare, and social systems businesses. The DMB unit, which manufactures electronic components and electromechanical equipment, will continue operations under its new ownership structure.
