Paramount Skydance Corporation Raises Over $41 Billion in Debt Offerings

Paramount Skydance Corporation has secured significant financing through multiple debt offerings, including senior secured notes and term loans, intended partly to fund its acquisition of Warner Bros. Discovery (WBD).
The company announced on September 30, 2026, that it has agreed to sell senior secured notes denominated in U.S. dollars and euros. The total offerings amount to over $41.4 billion and €885 million, with maturities ranging from 2028 to 2066 and interest rates from 6.30% to 8.90%.
Concurrently, the company has priced a senior secured incremental tranche of term B loans totaling $8.5 billion and €850 million, maturing in 2033. The dollar-denominated loans will be issued at 99.75% of their face value, and the euro-denominated loans at 100%, with interest set at Term SOFR or EURIBOR plus 2.75%.
Proceeds from these offerings, along with cash on hand, existing credit facilities, and previously announced equity financing, are earmarked for the purchase price of Warner Bros. Discovery and the repayment of certain existing debt. The closing of the notes offerings is expected on October 5, 2026, and is not a condition for completing the acquisition.
