A federal judge has approved a settlement agreement between Paramount and 12 states that had sued over the company's planned takeover of Warner Bros. Discovery. The ruling by U.S. District Judge Araceli Martínez-Olguín allows the companies to move forward with closing their $81 billion merger, which is expected to finalize on October 6.

The judge found the proposed consent decree to be a "fair, reasonable, and good faith approach to address the competitive harms" alleged in the states' lawsuit. The antitrust challenge from the states was seen as the final hurdle for Paramount, which was acquired by Skydance last year, before finalizing its merger with Warner Bros. Discovery.

The deal brings together significant Hollywood assets, including HBO Max, the "Harry Potter" library, and CNN, under the same corporate umbrella as CBS, the "Top Gun" franchise, and the Paramount+ streaming service. This consolidation further concentrates power in an industry already dominated by a few major players, a point of contention for critics.

Critics have argued that the settlement terms are too lenient, though they include commitments from Paramount to increase film production in the U.S. over five years, provide funds for displaced workers, and establish new editorial oversight for CNN and CBS. The Writers Guild of America also reached a separate settlement with Paramount after initiating its own legal action.

As part of the merger's leadership transition, Ynon Kreiz, current CEO of Mattel, is set to join as co-CEO alongside David Ellison. Ellison stated the merger represents a "transformational moment for our industry."
