Persistent Systems Limited, a company focused on AI-driven digital engineering, has finalized its public takeover offer for Nagarro SE. Following the additional acceptance period which concluded on October 6, 2026, Persistent now holds approximately 94.04% of Nagarro's share capital and voting rights.

Prior to the offer, Persistent had already acquired a 22.10% stake in Nagarro through a share purchase agreement with Lantano Beteiligungen GmbH. The final acceptance period resulted in an additional 71.94% of the company's shares being tendered, significantly surpassing the minimum acceptance threshold of 50% plus one share.

Persistent intends to initiate a squeeze-out procedure for the remaining minority shareholders of Nagarro upon completion of the transaction. This move is contingent on obtaining the limited outstanding regulatory approvals, with the entire process expected to conclude by the end of the first quarter of calendar year 2027. CEO Sandeep Kalra stated that the offer's outcome validates the strategic rationale for combining the two entities.
