New York – Pfizer Inc. has entered into a definitive agreement to acquire Metsera, Inc., a clinical-stage biopharmaceutical company developing next-generation medicines for obesity and cardiometabolic diseases. The transaction is valued at approximately $4.9 billion in cash, with potential additional payments of up to $22.50 per share in contingent value rights.

The acquisition will add Metsera's portfolio of differentiated incretin and amylin programs, including four assets in clinical development. Among these are weekly and monthly injectable GLP-1 receptor agonists in Phase 2 trials, and a monthly amylin analog candidate in Phase 1 development. Pfizer also gains access to oral GLP-1 receptor agonist candidates expected to enter clinical trials soon.

Pfizer's Chairman and CEO Albert Bourla stated that obesity is a significant and growing area with substantial unmet needs. He expressed excitement about accelerating Metsera's pipeline and leveraging Pfizer's cardiometabolic expertise to address these needs, aiming for treatments with potential best-in-class efficacy, tolerability, and dosing profiles.

The transaction is expected to close in the fourth quarter of 2025, subject to customary closing conditions, including regulatory approvals and the approval of Metsera's shareholders. Pfizer plans to provide updates to its financial outlook in conjunction with its upcoming quarterly earnings releases.
