The lawsuit concerns investors who purchased the company's Class A common stock in or traceable to its initial public offering (IPO) on January 30, 2026.
According to the complaint, PicS and certain of its executives are accused of failing to disclose material information in the offering documents, violating federal securities laws. The core allegations suggest that the company did not adequately disclose deficiencies in its credit assessment procedures and that its credit models and risk monitoring capabilities did not align with reality.
Specifically, the lawsuit claims that in December 2025, the company determined its credit assessment procedures were deficient and required enhancement. Following the implementation of revised procedures, PicS reclassified approximately R$590 million of exposures from Stage 2 to Stage 3, resulting in an incremental charge of R$88 million for the quarter ended December 31, 2025. The complaint also alleges an undisclosed Stage 3 formation rate exceeding 7% in the fourth quarter of 2025, deviating significantly from historical trends presented in offering documents.
The company is also alleged to have overstated the effectiveness of its credit models, user data, and underwriting and risk-monitoring capabilities. The suit contends that PicS N.V.'s expansion into riskier business lines prior to its IPO led to deteriorating credit quality and increased default and impairment risk, along with adverse financial and operational trends expected to worsen.
