Health sciences company Prenetics Global Limited announced that 86.7% of its warrants issued in October 2025 opted for a voluntary exchange program. The exchange significantly reduces the total number of outstanding warrants and potential dilution.
Charlotte, NC – Prenetics Global Limited (NASDAQ: PRE), a health sciences company, has provided an update on its voluntary warrant exchange program. The company reported that 86.7% of the Class A and Class B warrants issued in October 2025 have been exchanged. A total of 5,445,284 warrants were issued initially, with 4,720,832 participating in the exchange.
The exchange program involved swapping the original Class A and Class B warrants for new Class C warrants. Approximately 4.72 million original warrants are expected to be exchanged for about 2.36 million Class C warrants. This exchange is projected to decrease the total number of outstanding warrants by approximately 43.3%, reducing the potential dilution from 32.3% to 18.3% of the company's total shares.
Prenetics stated that the increased participation is expected to strengthen the program's impact by reducing dilution, simplifying its capital structure, and enhancing the investability of its ordinary shares. The new Class C warrants have an exercise price of $18.00 and a two-year term, subject to certain conditions, including the effectiveness of a registration statement and trading price requirements.
The company, also known for its premium health and longevity brand IM8 co-founded with David Beckham, has noted significant growth in its operations. Further details on the exchange terms are available in previous company announcements.
