Investors who experienced substantial financial losses during this period are eligible to participate in the lawsuit. The deadline to file a motion to be appointed as lead plaintiff is September 22, 2026.

The complaint alleges that PROCEPT made materially false or misleading statements about its business and financial condition. Investigators claim the company utilized an extensive discount program to incentivize customers to place bulk orders exceeding procedural demand. This program allegedly inflated reported U.S. handpiece unit sales and revenues by pulling forward future sales.

Troubles began to surface on August 6, 2025, when PROCEPT announced its second-quarter earnings and lowered revenue guidance. On November 4, 2025, the company reported third-quarter results, again missing expectations and reducing annual sales guidance to "optimize field inventory." The situation culminated on February 25, 2026, when PROCEPT disclosed that U.S. handpiece unit sales had exceeded procedures since Q1 2023, resulting in over 10,000 excess units in field inventory. Subsequent revelations about the company's undisclosed discount program led to a significant decline in PROCEPT's stock price.
