Prosus N.V. Announces Pricing for Any and All Tender Offer
Prosus N.V. has announced the pricing for its previously announced cash tender offer for any and all of its outstanding 4.850% Notes due 2027. The offer expires today unless extended.
Amsterdam, Netherlands – July 14, 2026 – Prosus N.V. today announced the pricing for its previously announced cash tender offer concerning any and all of its outstanding 4.850% Notes due 2027. The offer is set to expire at 5:00 p.m. New York time today, unless extended by the company.
The total consideration for the Any and All Notes, per $1,000 principal amount validly tendered and accepted, has been set at $1,002.31. In addition to this amount, holders will also receive accrued and unpaid interest. The settlement date is anticipated to be July 16, 2026.
Notes not purchased in the tender offer will remain outstanding. Prosus has elected to exercise its optional redemption right for any remaining notes following the settlement of the tender offer. A notice of redemption was issued on July 9, 2026, with redemption expected on August 10, 2026, at a price determined by the terms of the notes, which may differ from the tender offer consideration.
