Publicis Groupe Proposes New Governance Structure
Publicis Groupe is proposing a shift to a board-managed company structure. The change requires shareholder approval at the May general meeting.

Publicis Groupe announced on April 17 that it will propose a change in the company's statutes to shareholders at the general meeting on May 29, 2024. The advertising and communications group intends to revert to a board-managed corporate form, known as a Société Anonyme à Conseil d’Administration.
The proposal comes as the company, led by Chairman of the Supervisory Board Maurice Lévy, seeks to perpetuate its recent success. Lévy, whose term expires in 2025, has suggested the transition to ensure the continuity of the managerial teams that have driven the company's performance. Arthur Sadoun, currently Chairman of the Management Board, is slated to become Chairman and CEO of the new Board of Directors.
Publicis Groupe has experienced sustained success, attributed to its client-focused positioning, strong assets, and talented teams. The proposed governance change aims to solidify this foundation and maintain the company's market leadership, which has seen it become the top-performing stock in its sector.
Under the new structure, Maurice Lévy would be appointed Honorary Chairman, continuing to advise on market knowledge, experience, and strategy. He will also chair a committee focused on innovation and forward-looking initiatives. The board structure will be reinforced to align with corporate governance recommendations.
The proposal will be put to a vote at the upcoming general meeting. If approved, it will formalize the leadership roles and structural changes intended to sustain Publicis Groupe's growth and market value.
