NEW YORK โ September 28, 2026 โ A proposed $2.4 million settlement has been announced for holders of Revance Therapeutics, Inc. common stock. The settlement, facilitated by law firms Monteverde & Associates PC and Kahn Swick & Foti, LLC, aims to resolve two class action lawsuits: Dena A. Gilmore v. Mark J. Foley and Seane Jones v. Mark J. Foley.
The settlement is intended for Revance Therapeutics stockholders who held common stock as of the closing of the merger between Revance and Crown Laboratories, Inc. on February 6, 2025. Specifically, it applies to those who had their shares exchanged for $3.65 per share and acquired their shares either before February 29, 2024, or between February 29, 2024, and February 6, 2025, but are not eligible for compensation in a separate consolidated securities class action.
A fairness hearing is scheduled for December 17, 2026, before the Delaware Court of Chancery. At this hearing, the court will consider whether the proposed settlement is fair, reasonable, and adequate for the class members. The court will also rule on applications for attorneys' fees and expenses and any incentive awards.
Class members seeking to participate in the settlement distribution must submit a proof of claim form by mail or online no later than March 17, 2027. Detailed instructions for filing a claim and information regarding objections or opting out are available through the settlement administrator.
