Southlake, Texas – Sabre Corporation announced on September 25, 2026, that its indirect wholly-owned subsidiary, Sabre Financial Borrower, LLC, has received strong participation in its cash tender offer and consent solicitation for its outstanding securities. As of the early tender deadline, the company reported that $930,682,000, or 93.07%, of its 11.125% Senior Secured Notes due 2029 had been validly tendered.
The tender offer and consent solicitation are set to expire on October 12, 2026, unless extended. Sabre Financial expects to make payment for the tendered securities and related consents on September 28, 2026. The offer included an early tender premium for holders who submitted their securities by the early deadline.
Based on the consents received, Sabre Financial has obtained the necessary approvals to implement proposed amendments to the terms of the securities and the governing indenture. The company anticipates executing a supplemental indenture to formalize these changes around the September 28 settlement date.
