Sanofi and Novavax to Co-Commercialize COVID-19 Vaccine
Sanofi and Novavax have signed a co-exclusive licensing agreement for Novavax's COVID-19 vaccine. The deal includes global co-commercialization and development of combination vaccines.

Sanofi and Novavax have entered into a co-exclusive licensing agreement that will allow for the global co-commercialization of Novavax's protein-based COVID-19 vaccine. The agreement aims to broaden patient access to the non-mRNA vaccine, starting in 2025.
Under the terms of the deal, Sanofi gains the right to co-commercialize Novavax's current COVID-19 vaccine in most countries. The agreement also includes a license to develop novel flu-COVID-19 combination vaccines, utilizing Novavax's technology alongside Sanofi's flu vaccines. Sanofi will also make a minority equity investment of less than 5% in Novavax.
The financial terms include an upfront payment of $500 million to Novavax, with potential additional payments of up to $700 million tied to development, regulatory, and launch milestones. Novavax will also receive tiered double-digit royalty payments on sales. Sanofi will be solely responsible for the development and commercialization of any new combination vaccines.
The collaboration seeks to provide patients with a more convenient and comprehensive protection against both influenza and COVID-19. Both companies see a future role for combination vaccines in addressing respiratory illnesses.
