Sanofi Completes Acquisition of Vigil Neuroscience to Bolster Neurology Pipeline
Sanofi has finalized its acquisition of Vigil Neuroscience, Inc., a move intended to strengthen its early-stage neurology pipeline. The deal brings a novel Alzheimer's disease drug candidate into Sanofi's development portfolio.

Paris, France – August 6, 2025 – Sanofi announced today the completion of its acquisition of Vigil Neuroscience, Inc. The transaction is expected to enhance Sanofi’s early-stage pipeline in neurology, particularly with the addition of VG-3927.
VG-3927 is an oral, small-molecule TREM2 agonist that will be evaluated in a Phase 2 clinical study for patients with Alzheimer's disease. The acquisition of Vigil’s preclinical pipeline is also set to deepen Sanofi’s research efforts in various neurodegenerative diseases.
This acquisition follows Sanofi’s strategic investment of $40 million in Vigil in June 2024, which granted exclusive negotiation rights for VG-3927. Under the terms of the agreement, Sanofi acquired all outstanding common shares of Vigil for $8 per share in cash, equating to an equity value of approximately $470 million on a fully diluted basis. Vigil shareholders will also receive a non-transferable contingent value right (CVR) for a potential deferred cash payment of $2, tied to the first commercial sale of VG-3927.
Notably, Sanofi did not acquire Vigil’s second clinical program, VGL101. The company stated that the acquisition is not expected to impact its financial guidance for 2025.
