Sanofi Completes Sale of Stake in Consumer Health Business to CD&R
Sanofi has finalized the sale of a 50.0% stake in its consumer healthcare business, Opella, to private equity firm CD&R. The transaction establishes Opella as an independent global consumer healthcare leader.

Sanofi announced on April 30, 2025, the closing of its transaction with CD&R, selling a 50.0% controlling stake in its consumer healthcare business, Opella. This deal marks Opella's transition into an independent global leader in the consumer healthcare sector.
Following the sale, Sanofi retains a significant 48.2% shareholding in Opella, while Bpifrance will hold the remaining 1.8%. Sanofi received approximately €10 billion in net cash proceeds from the transaction. The company stated this move allows Sanofi to focus on its biopharmaceutical strategy, concentrating on breakthrough medicines and vaccines.
Opella, headquartered in France, employs over 11,000 people and operates in 100 countries. It boasts a portfolio of well-known brands, including Allegra, Doliprane, and Dulcolax, and is positioned as the third-largest global business in the over-the-counter and vitamins, minerals, and supplements market.
Eric Rouzier, Partner and Head of European Healthcare at CD&R, commented on the opportunity to support Opella's growth. Opella's CEO, Julie Van Ongevalle, highlighted the company's strong market position and readiness to drive value in the fast-moving consumer healthcare space.
