Scandic Hotels Group AGM Approves Dividend and New Incentive Program

Scandic Hotels Group AB held its Annual General Meeting (AGM) on May 5, 2026, approving all proposals put forth by the Board of Directors and the Nomination Committee. Key decisions included the adoption of the financial statements and a dividend of SEK 2.60 per share, to be paid in two installments in May and November 2026.

The AGM also approved a new long-term incentive program for the Executive Committee and other key employees. The program allows for up to 80 participants to receive share units, which can be converted into Scandic shares upon meeting certain conditions. The company may use equity swaps or repurchase its own shares to facilitate this.

Board members Per G. Braathen, Lars-Åke Bokenberger, Kristina Patek, Gunilla Rudebjer, and Frank Veenstra were re-elected, with John Brennan newly elected. Per G. Braathen was re-elected as Chair of the Board. Öhrlings PricewaterhouseCoopers AB was re-elected as auditor.

The board's remuneration report was approved. Additionally, the board received authorization to issue new shares, warrants, and convertibles, as well as to repurchase and transfer own shares. These authorizations are intended to optimize the company's capital structure and support the incentive program.
