The Simply Good Foods Company faces a class action lawsuit alleging that it provided misleading information to investors concerning quality issues with its OWYN brand products. The lawsuit, filed in the United States District Court for the Southern District of New York, requires investors who incurred losses exceeding $100,000 and purchased Simply Good shares between October 24, 2024, and April 8, 2026, to file applications to be lead plaintiff by October 13, 2026.

The suit contends that Simply Good and certain executives failed to disclose material information, violating federal securities laws. The core of the allegations centers on OWYN's protein beverages, acquired by the company in 2024 for $280 million. In October 2025, the company disclosed that a raw material sourcing decision implemented shortly after the acquisition had led to taste and texture issues as products aged, resulting in negative reviews and reduced sales.

Following this disclosure, Simply Good's stock price dropped by more than 17 percent. Later, in April 2026, the company reported that OWYN's quarterly sales had contracted by nearly 17 percent year-over-year and recorded an $187 million impairment charge against the OWYN brand's intangible assets. The company also significantly lowered its 2026 sales outlook.
