Skyworks Extends Exchange Offer Expiration for Qorvo Notes
Skyworks Solutions has extended the expiration date for its exchange offers concerning Qorvo's 2029 and 2031 senior notes. The new expiration date is set for October 5.
Skyworks Solutions, Inc. (Nasdaq: SWKS) announced an extension for its previously announced exchange offers. These offers involve Qorvo, Inc.'s (Nasdaq: QRVO) outstanding senior notes due in 2029 and 2031.
The new expiration date and withdrawal deadline are now set for 5:00 p.m., New York City time, on October 5, 2026, subject to further extension or earlier termination. Skyworks anticipates the merger with Qorvo will close on or around this date. All other terms and conditions of the exchange offers remain in effect.
The exchange offers allow holders of Qorvo notes to exchange their existing notes for new senior notes issued by Skyworks. The offers cover up to $850 million in principal amount for the 2029 notes and up to $700 million for the 2031 notes.
To date, a significant portion of Qorvo's notes have been tendered for exchange. As of September 30, 91.68% of the 2029 notes and 93.33% of the 2031 notes had been tendered. Holders who have already tendered their notes do not need to take any further action.
