Solidion Technology, Inc. (NASDAQ: STI), an advanced battery technology solutions provider, has expressed concerns regarding potential financing arrangements being considered by Flux Power Holdings, Inc. (NASDAQ: FLUX). Solidion has previously announced its intention to pursue the acquisition of Flux Power and is now questioning the strategic benefit of Flux Power entering into new financing deals.

In an open letter to Flux Power shareholders, Solidion Chairman and CEO Jaymes Winters stated that any financing facility Flux Power might secure within the next 60 days, given its current market conditions, would be significantly less advantageous than Solidion's acquisition offer. Winters emphasized that such agreements could put Flux Power into a "death spiral," potentially devaluing the company and its shares.

Solidion argues that Flux Power's board and management have a fiduciary duty to protect shareholder value. The company believes its acquisition proposal offers a superior outcome for Flux shareholders compared to the potential dilution or unfavorable terms of short-term financing. Solidion itself is involved in the manufacturing of battery materials and components, developing next-generation batteries for applications including data center energy storage and electric vehicles.

The company urges Flux Power shareholders to voice their opinions on the matter. Solidion Technology holds a substantial patent portfolio covering various battery innovations. The proposed acquisition is subject to customary conditions, including due diligence and necessary approvals.
