Stora Enso calls extraordinary general meeting to vote on separation of Swedish forest assets
Stora Enso will hold an extraordinary general meeting on December 15, 2026, to decide on the proposed spin-off of its Swedish forest assets into a new entity.
The Board of Directors of Stora Enso has convened an extraordinary general meeting (EGM) to take place on December 15, 2026, in Helsinki. The primary agenda item involves a formal vote on the cross-border partial demerger of the company's Swedish forest assets into a newly incorporated entity to be named Bergslagets Skogar AB.
Under the proposed demerger plan, all assets, liabilities, and rights associated with the Swedish forest business will be transferred to the new company. Stora Enso shareholders are slated to receive one share in Bergslagets Skogar for every share held in Stora Enso, maintaining their proportional ownership interests in the new structure.
Approval of the demerger requires a two-thirds majority of the votes cast at the EGM. If sanctioned, the effective date for the completion of the separation is expected to be March 31, 2027. The company's board retains the discretion to halt or modify the process prior to completion if it determines that doing so serves the best interests of the firm and its shareholders.
