Stora Enso convenes extraordinary meeting to vote on Swedish forest asset spin-off

Stora Enso will hold an extraordinary general meeting on December 15, 2026, to decide on the separation of its Swedish forest assets into an independent company.

2 November 2026

The Board of Directors of Stora Enso has scheduled an extraordinary general meeting (EGM) in Helsinki for December 15, 2026. Shareholders will vote on a proposal to execute a cross-border partial demerger, which would see the company's Swedish forest assets separated into a new entity, proposed to be named Bergslagets Skogar AB.

Under the proposed demerger plan, all assets, liabilities, and rights associated with the Swedish operations will transfer to the new entity. Shareholders are set to receive one share in Bergslagets Skogar for every Stora Enso share held, maintaining their current ownership proportions.

Implementation of the plan requires approval by at least two-thirds of the votes cast and shares represented at the meeting. Stora Enso’s board retains the discretion to cancel or amend the implementation if they determine that market conditions or other material factors make it no longer in the company's interest.

If approved, the demerger is scheduled to become legally effective on March 31, 2027. Shareholders who cannot attend the meeting in person may exercise their voting rights through an advance voting process.
