His background also includes a decade as an owner and manager of a tourism and event company in Israel. His appointment is provisional until the next general meeting, where his position will be put to shareholders for re-election.

Concurrently, Jean-Pierre Verlaine has stepped down from both the Board and the Audit Committee. Verlaine's departure is part of SWI Capital's ongoing efforts to refine its corporate governance framework, particularly concerning related-party transactions and potential conflicts of interest. Verlaine also holds significant ties to Engelwood Group, a Luxembourg-based investment firm, and his exit aims to establish a clearer separation between business relationships and company oversight.

Following Verlaine's departure, Fernando Bolivar, already a board member, has been appointed to the Audit Committee. The committee will now consist of Joseph Benhamou (Chairman), Fang Ai Lian, and Fernando Bolivar.
