Taiho Pharmaceutical Co., Ltd. has entered into an agreement to acquire Araris Biotech AG, a Swiss company specializing in next-generation antibody drug conjugates (ADCs) for cancer treatment. The transaction is valued at up to $1.14 billion, comprising an upfront payment of $400 million and potential milestone payments totaling up to $740 million.

The acquisition follows a research collaboration initiated between the two companies in November 2023. Araris Biotech's proprietary AraLinQ™ technology enables the efficient attachment of multiple cancer-fighting payloads to a single antibody, aiming for improved stability, safety, and efficacy compared to conventional ADCs. The company currently has three ADC candidates in the preclinical stage for hematological and solid tumors.

Araris Biotech, previously a portfolio company of 4BIO Capital, received initial investment in 2020 and a Series A funding round led by 4BIO Capital in 2022. Dima Kuzmin, Managing Partner at 4BIO Capital, stated that the acquisition validates their strategy of identifying and supporting disruptive technologies in advanced therapies.

Araris Biotech's pipeline is expected to advance into clinical trials between 2025 and 2026. Taiho Pharmaceutical anticipates completing the acquisition in the first half of 2025, intending to leverage Araris's ADC technology for its oncology drug development efforts. Araris CEO Dr. Dragan Grabulovski acknowledged the strategic support from 4BIO Capital in the company's development.
