Thrive Holdings to acquire ADT for $7.6 billion
Joshua Kushner-led Thrive Holdings has entered into a definitive agreement to acquire security services firm ADT in an all-cash transaction. The deal is expected to close in early 2027.

Thrive Holdings has announced a $7.6 billion all-cash agreement to acquire ADT, a move that will take the security firm private. The transaction is projected to conclude by the first quarter of 2027, according to company disclosures.
Thrive Holdings, established last year as a satellite of Joshua Kushner’s venture capital firm, Thrive Capital Management, has focused its investment strategy on acquiring established firms in sectors such as accounting and IT. Its operational model centers on integrating artificial intelligence into existing workflows to improve efficiency.
This acquisition brings ADT, a veteran of the home and business security market, into a portfolio specifically targeted for technological transformation. By shifting the company to private ownership, Thrive Holdings intends to restructure ADT’s operational framework away from the pressures of quarterly public earnings reports.
