Tokenization firm tZERO plans public listing via SPAC merger
Blockchain securities infrastructure firm tZERO has announced plans to go public through a merger with the SPAC FG Imperii Acquisition Corp.

tZERO, a US-based firm specializing in blockchain infrastructure for securities, is set to pursue a public listing by merging with special purpose acquisition company FG Imperii Acquisition Corp. The deal is expected to provide as much as $231 million in trust funds, though the final amount remains subject to shareholder redemptions and transaction expenses.
The combined entity plans to list on the NYSE American exchange under the ticker symbol TZRO. Pending regulatory approval and shareholder consent, the transaction is projected to close in early 2027. Investors holding approximately 62% of tZERO’s fully diluted capital have already committed their support for the merger.
tZERO provides infrastructure for the issuance and trading of digital securities and supports cryptocurrency transactions through its registered broker-dealer subsidiary. The move comes as the US Securities and Exchange Commission maintains that tokenized assets must strictly adhere to existing federal securities laws, placing significant regulatory oversight on the firm's operations.
