TORM plc Increases Share Capital Following RSU Exercise
TORM plc has increased its share capital by issuing 61,105 new Class A shares resulting from the exercise of Restricted Share Units (RSUs) under its incentive program.

TORM plc, a publicly traded shipping company, has announced an increase in its share capital by 61,105 Class A shares. This expansion is a direct consequence of employees exercising their Restricted Share Units (RSUs) as part of the company's ongoing incentive program.
The issuance of these new shares represents a nominal capital increase of USD 611.05. A significant portion, 57,772 shares, were subscribed for in cash at a price of DKK 179.80 per share. An additional 3,333 shares were also subscribed for in cash, but at a different price point of DKK 124.20 per share.
These transactions are part of TORM's strategy to reward its workforce and align employee interests with the company's performance. The exercise of RSUs is a common mechanism in corporate compensation packages, allowing employees to acquire company stock.
Potential transfer restrictions may apply to these newly issued shares in certain jurisdictions outside of Denmark, including compliance with applicable US securities laws. The company has noted that the capital increase was executed without pre-emption rights for existing shareholders.
