Tranquil Healthcare Fund I, LLC announced on October 2, 2026, that its Regulation A offering of up to $50 million in Class A Preferred Shares is now available to investors. The offering statement on Form 1-A was qualified by the U.S. Securities and Exchange Commission (SEC) on June 29, 2026.
The offering is structured as a Tier 2 Regulation A offering on a best-efforts basis, with shares priced at $10.00 each. The minimum investment is $2,500, and the offering is accessible to both accredited and non-accredited investors, subject to eligibility requirements outlined in the Offering Circular.
The company was formed to partner with clinic operators and finance equipment for the build-out of mental health clinics, with a primary focus on Transcranial Magnetic Stimulation (TMS) therapy. TMS is an FDA-cleared, non-invasive neuromodulation therapy used for major depressive disorder in adults who have not responded to other treatments.
Assuming sufficient investor subscriptions, the net proceeds will primarily be used to provide commercial loans to clinic operators for the purchase or lease of TMS clinic equipment.
