Indian edtech firm upGrad has finalized its acquisition of rival Unacademy for slightly over $200 million. The deal integrates K-12 and higher education offerings, marking a significant valuation drop for Unacademy.

Indian edtech company upGrad has officially completed its acquisition of rival Unacademy in a deal valued at just over $200 million. This transaction represents a substantial decrease from Unacademy's peak valuation of $3.5 billion in 2021.
The acquisition provides upGrad, which focuses on upskilling, with a foothold in the K-12 and competitive exam preparation sectors through Unacademy's established presence. upGrad CEO Ronnie Screwvala cited Unacademy's technology stack, brand equity, and the global potential of its language-learning app, Airlearn, as key drivers for the deal.
For Unacademy, which has faced challenges with market reopening post-pandemic, the merger offers a path toward renewed growth. The all-stock transaction grants Unacademy shareholders an equity stake in the combined entity. Unacademy CEO Gaurav Munjal is expected to continue leading its core verticals.
The merged company faces the immediate challenge of integrating distinct corporate cultures and operating models. It must also demonstrate that Unacademy's consumer reach can translate into sustainable operating margins and justify the acquisition price.
