UWM Holdings Corporation (NYSE: UWMC) is subject to a securities class action lawsuit following a 34% plunge in its share price on August 6, 2026. The decline was reportedly triggered by revelations of over $603 million in hedging losses associated with a failed bid to acquire Two Harbors Investment Corp. The company also agreed to a plan that would significantly dilute existing shareholders.

The suit centers on UWM's disclosures regarding its hedging strategy during its attempt to acquire Two Harbors. In December 2025, the mortgage lender announced a merger agreement with Two Harbors, a mortgage servicing rights (MSR) company, valued at approximately $1.3 billion in UWM stock. As part of this, UWM entered into substantial hedging transactions against Two Harbors' MSR portfolio, the value of which is sensitive to interest rates and homeowner refinancing speeds.

Plaintiffs allege that UWM failed to disclose it had over-hedged its exposure in connection with the acquisition attempt. Such over-hedging can become a speculative gamble if an acquisition falls through. Two Harbors subsequently announced in March 2026 a definitive merger agreement with CrossCountry Mortgage in a cash transaction, terminating the deal with UWM and agreeing to pay a termination fee.

Investors reportedly did not learn the full extent of the company's risk until August 6, 2026. On that date, UWM reported a net loss of $451 million and a hedging loss of approximately $603 million. Management disclosed, apparently for the first time, that the company "was over-hedged" and that the Two Harbors transaction had been abandoned. The company's total equity also sequentially fell by about $615 million, or 38%. Following these disclosures, UWM announced a significantly dilutive recapitalization plan.

The market reacted swiftly, causing UWM's stock price to decline sharply. Law firm Hagens Berman is investigating the claims and is encouraging UWM investors who have sustained substantial losses to submit their information. The class period in question is March 9, 2026, to August 5, 2026, with a lead plaintiff deadline of October 13, 2026.
