Warner Bros. Discovery to Delist Euro Notes from Nasdaq
Warner Bros. Discovery announced its intention to delist and deregister its euro notes from Nasdaq Global in connection with the pending acquisition of WBD by Paramount Skydance Corporation.
NEW YORK – Warner Bros. Discovery, Inc. (NASDAQ: WBD) announced it intends to voluntarily delist and deregister its 4.302% Senior Notes due 2030 and 4.693% Senior Notes due 2033 from The Nasdaq Global Market. This action is being taken in connection with the pending acquisition of WBD by Paramount Skydance Corporation.
The company stated that the voluntary delisting and deregistration of the euro notes, if completed, will not affect the terms of these notes. This move is a procedural step related to the impending corporate change.
WBD expects to file a notification of removal from listing with the U.S. Securities and Exchange Commission (SEC) on or around October 6, 2026. The delisting would become effective 10 days after the filing, at which point the euro notes would cease trading on Nasdaq Global.
No arrangements have been made by WBD or Paramount Skydance Corporation for the listing or quotation of the euro notes on another exchange or trading medium. The transaction remains subject to the satisfaction of customary closing conditions.
