Xryma Plc Plans Euronext Paris Listing with Pre-Listing Price Discovery

Xryma Plc, based in Nicosia, Cyprus, has announced its intention to seek admission to listing on Euronext Paris within the next twelve months, subject to regulatory approval. Prior to submitting this application, Xryma plans to initiate a process designed to ensure liquidity and establish a market-validated share price. This is a step towards a potential relisting following previous considerations.

The process will involve a private placement to institutional and qualified investors, alongside a secondary market offer for existing shareholders wishing to exit their positions before a potential listing on the Paris exchange. This mechanism aims to provide shareholders with a clear and orderly opportunity to sell their holdings at a price determined through a bookbuild process with institutional participants.

According to CEO Nikogiannis (John) Karantzis, the initiative responds to shareholder feedback requesting a straightforward method to realize holdings without the complexity and cost of opening an EU brokerage account. The structure is intended to establish a credible reference price for the shares ahead of a possible listing, while managing dilution and ensuring demand to support orderly trading.

Completion of the process is contingent on achieving sufficient demand from institutional and qualified investors, which the Board deems necessary for a stable market post-listing. Key shareholders, SCP Select All Enterprise and SCP Red 5 Solutions, will not participate in the offer and are subject to lock-up agreements. The company plans to update the market with a revised timetable in due course.
