Yum China, the country's largest restaurant company, announced the completion of its $1.2 billion acquisition of the Pizza Hut brand ownership in mainland China from Yum! Brands. The deal, initially disclosed on June 16, shifts Yum China's role from being the exclusive franchisee of Pizza Hut to becoming the brand's owner in the Chinese market.

According to Yum China CEO Joey Wat, becoming the brand owner represents a significant breakthrough after 36 years of operating Pizza Hut in China. In the short term, the elimination of royalty fees paid to Yum! Brands is expected to bring Pizza Hut's restaurant profit margins closer to those of KFC. This could also enable more potential new stores to achieve the company's two-to-three-year payback period target.

The cost savings from foregoing the previous 3% franchise fees are projected to increase Pizza Hut's restaurant and operating profit margins by 2.8% before tax. Yum China stated that, even after accounting for transaction-related costs, interest, financing expenses, and tax impacts, and without considering future growth potential, the deal is expected to provide a modest increase in diluted earnings per share by 2026, with mid-single-digit growth in 2027 and 2028.

Following this acquisition, Yum China has also accelerated its expansion targets for Pizza Hut. The company now expects to open over 800 net new stores annually, an increase from its previous goal of over 600 per year through 2027 and 2028. As of March 31, 2026, Pizza Hut operates in over 1,100 cities with 4,375 restaurants. The company had previously planned to surpass 6,000 Pizza Hut locations by 2028.

To fund the acquisition, Yum China secured a bridge loan of approximately $1.2 billion in offshore RMB, with a term of no more than 12 months and an interest rate of about 2%. The company is still evaluating various long-term financing arrangements to ensure decisions align with shareholder interests based on market conditions and capital needs.
